1. In accordance with the Government Procurement Agreement and the Mandatory Tenders Law 5752-1992, Israel Ports – Development and Assets Company Ltd. ("IPC" or "the Company") hereby invites participants to take part in the prequalification stage of the tender for the construction of a Grain Conveying System within the port of Ashdod, Israel, and its maintenance for a period of at least 5 years. The Grain Conveying System includes the following works, as further detailed in the tender documents ("the Invitation", "the Works" or "the Project", respectively):
1.1. Construction of a grain conveying system from pier no.21 in the port of Ashdod to the Ashdod silos ;
1.2. Upgrading of grain silo intake system, including the construction of chain conveying and bucket elevating system for the purpose of distributing grains into existing cells at the silos;
1.3. Construction of belt conveyors in closed galleries inside the port area and outside the port;
1.4. Auxiliary systems, such as weighing systems, auxiliary facilities and complementary works.
1.5. Electricity and control systems.
2. The tender shall include a prequalification stage as defined in the Mandatory Tender Regulations 5753-1993 ("the Regulations"), and shall be conducted as an Electronic Tender pursuant to regulation 19c of the Regulations, all as further detailed in the tender documents.
3. The Company reserves the right to instruct through the tender documents, that further to the submission of the prequalification proposals, additional threshold requirements and minimal quality scoring, which were not considered in ascertaining the final group of bidders as part of the first submission, will be considered for the subsequent submission, and to include an electronic dynamic competitive stage or a best and final stage, all in accordance with the detailed provisions as shall be included in the invitation to bid.
4. The construction period of the Project shall be approximately 27 calendar months, from the date of commencement as shall be indicated in the notice to proceed and until its handover to the Company. The defects liability period and the maintenance period shall be at least 5 years from construction completion. All as shall be detailed in the contract and the tender documents.
5. Eligible participants shall comply with all the threshold conditions. The full details os the tender requirements and how compliance therewith
is tobe demonstrated are included in thr invitation.
6. Threshold Requirements
The final group of participants will be comprised of those participants who comply with all the following pre-conditions:
6.1 The participant is a corporation which is registered as such in accordance with the law applicable to its country of registration.
6.2 The participant is a "registered contractor" within the Register of Contractors of the Ministry of Construction and Housing pursuant to the Registration of Contractors for Construction Engineering Works Law, 5729-1969, as of the last date of submission of the prequalification proposal in the following fields and classifications:
i field 300 (Bridges), classification C type (5) (unlimited scope);
ii field 100 (Construction), classification C type (5) (unlimited scope).
A participant which is a foreign entity, not registered within the Register of Contractors of the Ministry of Construction and Housing will be required to produce an exemption from such registration as a precondition to the execution of the appointment to execute the project, not more than 45 days after the letter of award at tender stage.
6.3 The participant meets all the applicable requirements under the Public Entities Transaction Law, 5736 – 1976, as follows:
6.3.1 Holds a valid approval from a tax officer or a certified public accountant testifying to proper bookkeeping practices, in accordance with the Income Tax Ordinance and the Value Added Tax Law, 5736 - 1975.
6.3.2 Holds a valid approval from a tax officer or a certified public accountant testifying to compliance with the reporting requirements to the tax officer of its income and to the VAT authority of transactions to which VAT applies in accordance with the Value Added Tax Law 5736 – 1975.
6.3.3 Complies with the requirements under Article 2B to the Public Entities Transactions Law in respect of minimum wages and the employment of foreign workers in accordance with the law.
6.3.4 Complies with the requirements under Article 2B1 to the Public Entities Transactions Law in respect of the Equal Opportunities for People with Disabilities Law 1998.
6.3.5 The Threshold Requirement of this Clause 1.3 applies to corporate entities which are "Residents of Israel" ("תושב ישראל") as such term is defined in the Income Tax Ordinance [New Version].
A participant which is a foreign corporate entity not registered in Israel is not required to comply with the Threshold Requirements of this Clause 1.3.
6.4 No Going Concern
The participant's Latest Financial Statement does not include a Going Concern notice or warning.
"Latest Financial Statement" shall mean the participant's most recent audited annual financial statement, provided such statement relates to the fiscal year of 2016 at the earliest.
The participant's equity, including surpluses and funds, according to its Latest Financial Statement (as such term is defined in Clause 1.4 above) and its latest quarterly financial statement (as of the submission date) is positive.
6.6 Professional Threshold Requirements
The participant shall demonstrate its compliance with one of the alternative requirements in clause 6.6.1 or 6.6.2, as follows:
6.6.1 The participant has Executed and Managed by Itself Works as a Main Contractor in the framework of one project in which it constructed an Overland Conveyor (as such term is defined below) and which cumulative financial scope during the period commencing on 01.01.2010 and until the submission date was at least 100,000,000 NIS in current prices.
For the purpose of this Clause 6.6.1 –
"Overland Conveyor" shall mean a conveyor which includes all of the following minimum cumulative requirements: a gallery constructed on pillars or towers, in the length of at least 1.5 kilometers, and with capacity of at least 600 tons per hour.
6.6.2 The participant Executed and Managed by Itself Works as a Main Contractor in Complex Projects (as such term is defined below) which cumulative financial scope during the period commencing on 01.01.2010 and until the submission date was at least 180,000,000 NIS in current prices* , of which at least one project included works of a value of at least 40,000,000 NIS.
For the purpose of this Clause –
"Complex Project" shall mean a project which includes, in addition to the Construction and Civil Engineering Works, mechanical or electro-mechanical systems of Material Conveying Systems or Rotating Equipment, with such systems or equipment being driven by motors of at least 150 kw.
"Material Conveying System" shall mean a conveyor for transferring goods of any kind (not including elevators and escalators).
"Rotating Equipment" shall mean any of the following components: pump, turbine, gear or motor.
"Construction and Civil Engineering Works" shall not include residential buildings and office buildings.
(* The financial scope requirement of alternative 6.6.2 is more stringent than the requirement of alternative 6.6.1 and the requirement of the Appendix to the Mandatory Tenders Law, 1992. This is because the alternative requirement is intended to broaden the group of participants due to the limited number of conveyor projects which comply with the thresholds requirements. This alternative threshold requirement is intended to ensure that participants who have not executed a conveyor project, have indeed gained experience in the execution of substantial projects, have the required knowledge, proficiency and skills for the execution and completion of this project in accordance with the tender requirements, and in consideration of the complexity thereof. )
In this Clause 6.6:
"Executed and Managed by Itself Works as a Main Contractor" shall mean executed and managed works in the framework of a project (which includes an overland conveyor or Complex Projects, as applicable) of the required scope of financial value, and undertaken the construction risks towards the project owner, including in respect of the engagement and coordination with subcontractors, under a contract between the participant and the project owner for the relevant period, and which payment for execution and management of such works were approved and effected by the project owner during the relevant period.
A concessionaire or entrepreneur, including entities holding such concessionaire or entrepreneur, which appointed a main contractor for the execution of the demonstrated project, and which did not execute the project itself, will not be considered a main contractor for the purpose of this Clause.
6.7 Additional Professional Threshold Requirements
The participant is to demonstrate experience of steel structures (Clause 6.7.1) and have an in-house engineering department (Clause 6.7.2), either by itself or through a subcontractor on its behalf, provided that the demonstrating entity shall comply with all the following requirements of this Clause 6.7.
In the event the participant seeks to rely on a subcontractor on its behalf for the purpose of demonstrating compliance with the said threshold requirements (or any of them), then the subcontractor itself is to additionally comply with the threshold requirements of Clause 6.1 (a Corporation Registered by Law) and Clause 6.4 (No Going Concern) (and any reference within these clauses to the participant shall be deemed to apply to the subcontractor).
A participant which has demonstrated compliance with the additional professional threshold requirements of this Clause 6.7 through a subcontractor on its behalf will be required at tender stage to provide an undertaking executed by the subcontractor confirming that the subcontractor will serve as the steel structure works subcontractor on the project, in accordance with the further requirements which shall be detailed in the tender documents.
6.7.1 Steel Structure Experience:
220.127.116.11 Registration within the Register of Contractors pursuant to the Registration of Contractors for Construction Engineering Works Law, 5729-1969 in field 150 (steel structure), classification A type (5) (unlimited scope).
A foreign entity which is not registered within the Register of Contractors of the Ministry of Construction and Housing will be required to produce an exemption from such registration as a precondition to the execution of the appointment of the participant to execute the project, not more than 45 days after the letter of award to the participant at tender stage.
18.104.22.168 Manufactured a monthly average of 250 ton of Steel Structure during 12 months in the aggregate, during the period commencing on 01.01.2010 and until the prequalification proposals submission date.
22.214.171.124 Compliance with one of the requirements in sub-clause (a) or (b) below:
(a) Manufactured Steel Structures (as such term is defined below) in one project which cumulative financial scope (of manufacture) during the period commencing on 01.01.2010 and until the submission date was at least 20,000,000 NIS in current prices.
(b) Manufactured and installed Steel Structure (as such term is defined below) in one project which cumulative financial scope during the period commencing on 01.01.2010 and until the submission date was at least 30,000,000 NIS in current prices.
For the purpose of this Clause 6.7.1:-
"Steel Structure" shall mean steel beams manufactured from profiles and plates by welding and bolt connections. The beams are used to form part of a structure, a roof or as support for conveying equipment or rotating equipment.
6.7.2 A In-House Engineering Department which complies with the following cumulative requirements:
126.96.36.199 Design and preparation of shop drawings capability; and
188.8.131.52 Employs at least 3 designers, of which at least one is an engineer, from 01.01.2016 and until the prequalification proposals submission date.
6.8 Currency Conversion
Where the threshold requirements require the demonstration of projects or works which were executed abroad and remunerated in foreign currency – for the purpose of evaluating the compliance of the participant with the above threshold requirements, set in NIS, the exchange rate published on August 31st, 2017 by the Bank of Israel shall apply (www.boi.gov.il).
7. Bidders Conference and Site Visit:
Bidders' conference and the site visit shall take place on September 18th, 2017 at 10:00 local time. The meeting point is at the conference room in the offices building, near Ashdod port, 10 Tel-Mor St. Offices complex, room 216, ISRAEL.
The participation in the site visit and bidders conference is not a condition to the participation in the pre-qualification stage.
Any entity who is interested in participating in the Bidders Conference is requested to send a request by email ENG-IPC@israports.co.il until September 14th, 2017 according to the details in the Invitation.
The Company reserves the right to conduct an additional Bidders Conference and/or Site Visit. If such right shall be exercised the company shall publish a separate notice to that effect.
Requests for Clarification:
The Bidders may refer questions and request clarifications with respect to the Invitation, in writing from IPC, after the site visit and until 23.10.2017 (October 23rd, 2017) at 12:00 (noon) local time, in accordance with the detailed instructions in the Invitation.
9. The Invitation documents shall be available to the Bidders who registered for receiving the Invitation documents in the Electronic Tender System, in accordance with the instructions in the Company's web site: www.israports.co.il under "Tenders" from September 10th, 2017.
10. Receiving the Invitation Documents:
10.1 The Bidder shall download the form to be filled out from the IPC web site and shall send the form with the complete details to the email address:
ENG-IPC@israports.co.il, requesting the receipt of the Invitation Documents.
10.2. Following the above procedure, the Bidder will receive a response e-mail with a Username and Password from the https://ramdor.net web site.
10.3. The Bidder shall not make any changes in the Invitation Documents. Only the version approved by the Tender Committee and published in the https://ramdor.net web site shall be the final and binding version and shall govern the prequalification process.
10.4. A users' guide for using the Electronic Tender System is available in the above web site.

11. The Bidder’s response to the Invitation shall be submitted no later than 4.12.17 (December 4th, 2017) at 12:00 (noon) local time, in an electronic format to the IPC’s Electronic Tender Box, at https://ramdor.net. Only submissions which shall be found in the Electronic Tender Box until the submission deadline shall be considered by the Tender Committee.
12. The Invitation to Bid Documents and the implementation of the project are subject to additional approvals. The Company is not obliged to conclude the prequalification stage and reserves its right to cancel the process at any stage.
13. This notice is not exhaustive and does not include the full details of the Invitation. In the event of conflict between this notice and the Tender Documents, the Tender Documents shall prevail. The Hebrew version shall prevail over the English version.
